Riot Platforms raises $573 million to build an AI campus in Texas

Analyzing the latest corporate developments in the sector, I note the strategic move by Riot Platforms, which once again confirms the trend toward diversifying mining assets into high-performance computing. The company has completed the raising of project debt financing of up to $573 million. The funds will be directed toward purchasing equipment and developing a data center (DC) for artificial intelligence needs with a capacity of 191 MW at its own campus in Rockdale, Texas.

The deal structure is as follows: Morgan Stanley acts as the administrative agent for the lender pool, adding institutional weight to the transaction. The key borrowing terms—an annual rate of approximately 6.4%—became available to Riot starting April 10. The maturity of the obligations is set until December 31, 2026. This is a relatively short horizon for an infrastructure project, indicating high lender confidence in rapid payback and cash flow generation from future AI capacity.

From my expert perspective, this move is not merely an attempt to hedge bitcoin volatility. It is a pragmatic response to structural demand from hyperscalers and AI startups that urgently need energy resources and cooling. Repurposing existing sites in Texas, where there is already access to cheap electricity and developed grid infrastructure, allows Riot to monetize its assets with a smaller capital gap than building from scratch.

Nevertheless, I also see risks. The 6.4% rate and short maturity hint that the market is pricing in a premium for the operational risk of transitioning from mining to AI workloads. The success of the deal will depend on Riot's ability to sign long-term contracts with anchor tenants by the end of 2025. If this does not happen, refinancing the debt could become a nontrivial task. For now, this is a positive signal for shareholders, as the company diversifies revenue without diluting capital through a secondary offering.
