Metaplanet enters the U.S. market: bitcoin treasury gains a new jurisdiction

Japanese bitcoin investor Metaplanet is making a strategic move that takes its operations to a fundamentally new level. The company has entered into a binding agreement with the American firm Super League Enterprise, under which the Japanese side will transfer 2,100 BTC (~$132.1 million) and $2.5 million in fiat funds. In return, Metaplanet will receive 44,859,400 common shares at $3 per share, as well as a package of preferred securities and warrants.

The deal is not merely financial but structural in nature. Upon closing, Super League will be renamed Superplanet and will receive a new ticker, SUPA. A controlling stake of 95.7% of voting shares will pass to Metaplanet, giving the Japanese company the right to appoint five of the nine seats on the board of directors. This is effectively full operational control over the American platform.

It is important to emphasize the scale: the transferred 2,100 BTC account for less than 5% of Metaplanet's current reserves, which are estimated at 43,000 BTC. This indicates that the company is not simply shifting assets but diversifying its jurisdictional structure while retaining its core holdings in Japan.

The closing of the deal is expected in the fourth quarter and will depend on two key conditions: approval from Super League shareholders and regulatory clearances in both the United States and Japan. Given the growing interest of American regulators in bitcoin treasuries, the process may be prolonged, but the structure of the deal itself appears well thought out.

My analysis. This is not just a corporate transaction — it is a signal that bitcoin treasuries are ceasing to be a national phenomenon. Metaplanet is creating a precedent for cross-border expansion that could become a model for other companies seeking a listing on American exchanges without a traditional IPO. The only question is how regulators will react to a hybrid structure with Japanese control and an American shell.
